1. Introduction and acceptance

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "you") and Midaspire Solutions Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Ground Floor, PFS Club House, Roshni Tech Hub, Marathahalli Main Road, Lakshminarayana Pura, EPIP Zone, Chinnapanna Halli, Bengaluru, Karnataka 560037 ("EduAspire", "Midaspire Solutions", "Company", "we", "us", "our"), governing your access to and use of the website eduaspire.in, its subdomains, and all associated content, tools, calculators, comparison features, counselling services and paid Decision Reports (collectively, the "Platform" or "Services").

EduAspire® is a registered/claimed trademark of Midaspire Solutions Private Limited. By accessing, browsing, or using the Platform in any way — including submitting an enquiry, using a free tool, or purchasing a Decision Report — you confirm that you have read, understood and agree to be bound by these Terms, our Privacy Policy, our Disclaimer, our Refund & Cancellation Policy, and our Shipping & Delivery Policy, each of which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Platform.

These Terms are governed by the Indian Contract Act, 1872, the Information Technology Act, 2000, and the Consumer Protection Act, 2019 read with the Consumer Protection (E-Commerce) Rules, 2020, to the extent applicable to the Services offered.

2. Who can use EduAspire

The Platform is intended for use by students exploring higher-education options in India and their parents, guardians or advisors. If you are under the age of 18, you may use the free parts of the Platform, but any purchase of a paid product (such as a Decision Report) must be made by, or with the explicit involvement and consent of, a parent or legal guardian who agrees to be bound by these Terms on your behalf. By making a purchase, the purchaser confirms that they are at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872.

3. Description of Services

EduAspire is an independent, digital-first education discovery and decision-support platform. Our Services include:

We do not provide admission services, application-filing services on your behalf, coaching, or any guarantee of educational outcome. We are not a recruitment agency, a placement consultancy, or an authorised representative of any government examination or counselling authority.

4. Acceptable use

You agree to use the Platform only for your own lawful, personal, non-commercial research and decision-making. You agree not to: (a) scrape, crawl, copy, republish, redistribute or resell in bulk any content, data or Decision Report obtained from the Platform without our prior written permission; (b) use any automated means (bots, scripts, harvesting tools) to access the Platform at a volume or frequency that a normal human user would not generate, or to circumvent any rate-limiting or access-control measure we employ; (c) attempt to gain unauthorised access to any part of the Platform, including the administrative system, or to any account, system or network connected to the Platform; (d) upload or transmit any virus, malware or harmful code; (e) impersonate any person or entity, or misrepresent your affiliation with any person or entity; (f) use the Platform to send unsolicited communications; or (g) use the Platform in any manner that could damage, disable, overburden or impair it, or interfere with any other party's use of it. We reserve the right to restrict, suspend or terminate access for any User who we reasonably believe has violated these Terms.

5. Information accuracy and third-party content

We take reasonable care to source university, course, fee, eligibility, admission-route and entrance-exam information from official institution websites, government and regulatory bodies (including UGC, AICTE, NMC, NBA, NAAC, NIRF and comparable authorities) and reputable public directories, and to clearly distinguish verified information from information that has not been independently confirmed. However, admissions criteria, fees, deadlines, seat matrices, accreditation status and entrance-exam formats are determined and changed by the institutions and regulators themselves, not by us, and may change without notice. You must always verify final, current details directly with the official university or admission-portal website before making any decision, application or payment. See our Disclaimer for further detail. We do not warrant that any information on the Platform is complete, current, or free of error, and we disclaim liability for decisions made in reliance on information that has since changed at the source.

6. No guarantee of admission or outcomes

EduAspire provides information, research and, where requested, advisory counselling support. We do not control, influence or have any special access to any university's or college's admission decisions, and we cannot and do not guarantee admission, a scholarship, a particular fee waiver, a specific cutoff outcome, or a placement or career outcome of any kind. Any guidance, opinion or recommendation provided by an EduAspire counsellor, or contained within a Decision Report, is advisory only and should be treated as one input into your own decision-making process, not as a substitute for your own diligence or for official confirmation from the institution concerned.

7. Decision Reports: nature of the product

A Decision Report is a digital research document compiled from publicly available and officially sourced information about a specific institution and/or programme, structured to help you evaluate a decision you are already considering. A Decision Report reflects the depth of information that has been independently verified for the relevant institution and programme at the time of preparation; where a particular data point (for example, a specific fee component or a recent cutoff) has not been verified from an official source, it will be described as unavailable rather than estimated. A Decision Report is a research aid, not financial, legal, medical or admissions advice, and does not constitute any representation, warranty or guarantee as to future fees, cutoffs, placements or admission outcomes at the institution concerned.

8. Payment terms

Prices for Decision Reports are displayed on the Platform in Indian Rupees (₹), inclusive or exclusive of applicable taxes as indicated at checkout, and are configurable by us from time to time; the price applicable to your purchase is the price displayed at the time you complete payment. Payments are processed by a third-party payment gateway; we do not store your full payment card, UPI or net-banking credentials. By making a payment, you represent that you are authorised to use the payment method provided. All amounts are payable in advance of report preparation/delivery unless we expressly agree otherwise in writing. Applicable Goods and Services Tax (GST) or other statutory levies will be added where required by law, and a tax invoice will be made available to you.

9. Cancellation, refunds and delivery

Cancellation and refund eligibility for Decision Reports, and the process for requesting either, is governed by our separate Refund & Cancellation Policy. Delivery timelines and method (all our products being digital, not physical) are governed by our separate Shipping & Delivery Policy. Both policies form part of these Terms.

10. Free tools and calculators

Calculators and comparison tools on EduAspire (including CGPA/percentage conversion, eligibility checkers, affordability and loan calculators, and career-aptitude assessments) use standard, published formulas, publicly disclosed eligibility criteria, or simplified assumptions clearly stated on the relevant tool page, and are provided for general convenience and self-assessment only. They are not a substitute for your institution's, board's, or examination authority's own official calculation, and must not be relied upon as the sole basis for an application, eligibility claim, or financial decision.

11. Intellectual property

The EduAspire name, the EduAspire logo, the look and feel of the Platform, and all original content, compilations, comparisons, research methodology and Decision Report formatting created by us are the property of Midaspire Solutions Private Limited and are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and other applicable intellectual-property law. You may view, download and print content from the Platform solely for your own personal, non-commercial use. You may not reproduce, distribute, publicly display, create derivative works from, or commercially exploit any part of the Platform without our prior written consent.

Factual information about third-party universities, colleges, courses and regulators is drawn from public and official sources and is cited accordingly where relevant; we do not claim ownership of underlying facts about third-party institutions, and the compilation, verification, structuring and presentation of that information on the Platform is our own work product. University and institution names, logos and marks referenced on the Platform remain the property of their respective owners; see our Disclaimer for our trademark-use statement.

12. Limitation of liability

To the maximum extent permitted by applicable law, Midaspire Solutions Private Limited, its directors, officers, employees and counsellors shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profit, opportunity, admission, scholarship or data, arising out of or in connection with your use of, or inability to use, the Platform or any Service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount actually paid by you to us for the specific Service giving rise to the claim in the six months preceding the claim, or ₹5,000, whichever is lower. Nothing in this clause excludes or limits liability that cannot be excluded or limited under applicable Indian law, including liability arising from our own fraud or wilful misconduct.

13. Indemnification

You agree to indemnify and hold harmless Midaspire Solutions Private Limited and its directors, officers and employees from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your violation of any right of a third party.

14. Third-party links

The Platform contains links to official university websites, admission portals, government and regulatory websites, and payment-gateway pages that we do not control. We are not responsible for the content, accuracy, availability, or privacy practices of any linked third-party website, and inclusion of a link does not imply endorsement.

15. Suspension and termination

We may suspend or terminate your access to all or part of the Platform, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful activity, or where required to comply with law. You may stop using the Platform at any time. Provisions of these Terms which by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will survive.

16. Force majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including acts of God, natural disaster, war, terrorism, riot, government action, epidemic or pandemic, internet or telecommunications failure, or failure of a third-party service provider (including our hosting provider or payment gateway).

17. Governing law and dispute resolution

These Terms are governed by and construed in accordance with the laws of India. Subject to the paragraph below, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Platform.

Before initiating any formal proceeding, you agree to first raise the dispute with us in writing at support@eduaspire.in so that we may attempt to resolve it amicably within 30 days. If the dispute is not resolved within that period, either party may refer the dispute to arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator mutually appointed by the parties, with the seat and venue of arbitration at Bengaluru, Karnataka, and the proceedings conducted in English. Nothing in this clause prevents either party from seeking urgent interim relief from a competent court. This clause is without prejudice to any right you may separately have to approach a consumer forum under the Consumer Protection Act, 2019.

18. Changes to these Terms

We may revise these Terms from time to time to reflect changes in our Services, business practices, or applicable law. The "Last updated" date at the top of this page indicates when these Terms were last revised. Material changes will, where appropriate, be highlighted on the Platform. Your continued use of the Platform after a revised version takes effect constitutes your acceptance of the revised Terms.

19. Severability and entire agreement

If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms, together with the Privacy Policy, Disclaimer, Refund & Cancellation Policy and Shipping & Delivery Policy, constitute the entire agreement between you and Midaspire Solutions Private Limited regarding your use of the Platform, superseding any prior agreements on the subject.
